About the role

Sana Biotechnology is growing, and we are hiring new team members who believe in the potential of cells and viruses as engineered medicines, who want to challenge status quo, and who lead with the desire to work on novel ideas. As the Director, Contract Counsel, you will have an opportunity to be part of a dynamic, energetic, and growing legal team focused on providing client service-oriented support to various key stakeholders within the Company with the goal of helping to get cutting-edge cell & gene therapies to patients who need them. You will form close partnerships within the legal team and with internal clients in managing all aspects of contract operations, negotiation, review and execution, and in advising the business on matters related to contracts.

What you'll do
  • Draft, review, and negotiate a broad range of contracts touching all areas of a rapidly growing cell & gene therapy company business in research, development, and G&A, to include sponsored and contract research, manufacturing, confidentiality, material transfer, consulting, advisory board, vendor, master services, purchasing, outsourcing, software, licensing, and data-related agreements
  • Participate in coordinating contract management, overseeing software-based contract lifecycle management system (CLM), contract workstreams and in the development and implementation of contract-related policies/procedures, template libraries, and standard language
  • Work closely and collaboratively with all legal team members as part of an engaged and efficient team
  • Work closely and collaboratively with internal business owners to advise them on the range of issues involved in contracting, to provide practical problem-solving guidance and to communicate with clients on the potential business and legal risks that can arise throughout the life cycle of a business relationship
  • Promote the organization's compliance with internal approval and financial controls with respect to contract initiation and requisition
  • Partner with stakeholders in IT and Legal to improve, maintain, and train end-users on the CLM
  • Participate in providing internal training and educational opportunities across the company regarding legal and contract concepts and contract-related policies and procedures
  • Provide support on all other matters requested by other members of the legal department, as needed
  • All other duties as assigned

What we're looking for
  • 7+years of experience as an attorney drafting and negotiating a wide variety of contracts within a high-growth biotech and/or pharmaceutical company, or law firm equivalent
  • JD degree from an accredited law school and licensed to practice in good standing in California, Washington or Massachusetts (or eligible to practice as Registered In-House Counsel)
  • Ability to understand and analyze legal contractual terms, accurately identify and assess the risks in a business arrangement
  • Demonstrate the ability to make decisions with respect to contract provisions that are risk appropriate and in line with Sana's contracting standards, and offer a practical, business-minded approach to contract negotiation
  • Candidates should have strong verbal and analytical skills, sound business judgment, and excellent negotiation and drafting skills
  • Flexible and adaptable - demonstrated ability to work in a fast-paced environment and the ability to shifting deadlines and priorities
  • Demonstrate strong organizational and prioritization skills needed to manage multiple, parallel contract negotiations at any given time
  • Energetic, proactive, and decisive, with the ability to learn quickly, work independently, and influence others while maintaining highest level of integrity
  • Eagerness to understand and appreciate Company's business goals and execute agreements with a view toward those concepts and goals
  • Analytical thinker with a track record of creatively synthesizing new solutions to old problems
  • Candidates must demonstrate a customer-service orientation and a positive, 'can-do' attitude, balanced with honesty, integrity and trust-building behaviors in all dealings
